Every business generates data. Customer records, transaction histories, analytics events, communication logs, workflow configurations. That data lives somewhere, and the terms under which you access, export, and control it define more about your business’s future than most executives realize. The question is not whether you have data. It is whether you actually own it.
The Vendor Lock-In Equation
Vendor lock-in is not a hypothetical risk. It is a measurable financial liability that grows every month you operate on a platform without data portability.
Consider a company running its entire customer relationship management on a major SaaS platform. After three years, they have 200,000 contact records, 1.2 million activity logs, 45,000 custom fields, 300 automated workflows, and 8 years of email history. When the platform raises prices by 40%, which happened to thousands of Salesforce customers in 2023, the switching cost is not the subscription difference. It is the cost of migrating that data to a new system without losing relationships, history, or operational continuity.
We have worked with companies that estimated their switching cost at $300,000 to $500,000 for a mid-market CRM migration, accounting for data extraction, transformation, validation, retraining staff, and the productivity dip during transition. That cost is leverage, and the vendor knows it.
The lock-in equation is simple: the harder it is to leave, the more a vendor can charge you. Every month of data accumulation without a portability strategy increases the vendor’s pricing power over your business.

What Data Ownership Actually Means Legally and Technically
Data ownership has two dimensions that are frequently confused: legal ownership and practical control.
Legal ownership is defined by the terms of service you agreed to when you signed up. Most SaaS agreements include clauses that say something like “you retain ownership of your data.” But read the fine print. Many platforms grant themselves broad licenses to use your data for product improvement, machine learning training, or aggregate analytics. Zoom’s 2023 terms of service controversy, where updated language appeared to grant the company rights to use customer data for AI training, illustrates how the legal landscape shifts under your feet.
Key legal questions to ask about any platform holding your data:
- Can you delete your data completely, including backups, upon contract termination?
- Does the vendor retain any rights to your data after you leave?
- Is your data included in aggregate datasets the vendor sells or uses?
- What jurisdiction governs disputes about data ownership?
- Does the vendor’s bankruptcy or acquisition change your data rights?
Practical control is about whether you can actually access and move your data, regardless of what the contract says.
A platform might legally acknowledge that you own your data while making it practically impossible to extract. Common barriers include:
- Proprietary formats. Data exported in a vendor-specific format that no other tool can read without significant transformation effort.
- Incomplete exports. The ability to download contact records but not workflow configurations, automation rules, or relationship mappings.
- Rate-limited APIs. An API that technically allows data extraction but throttles it so aggressively that exporting 500,000 records takes six months.
- Missing metadata. Exported data that strips timestamps, audit trails, user attribution, or file attachments.
- No bulk export. Systems that let you export one record at a time but have no batch or bulk export functionality.
True data ownership means both legal rights and practical ability to extract a complete, usable copy of your data at any time, in a standard format, without the vendor’s cooperation beyond providing the export mechanism.
Building a Data Portability Strategy
Data portability is not something you achieve after the fact. It is an architectural decision you make upfront and maintain over time.
Maintain a canonical data model. Regardless of which tools you use, define your own data schema that represents your business objects: customers, orders, products, interactions. Every external system should map to and from this canonical model. When you switch tools, you migrate from your model to the new tool, not from old-tool-format to new-tool-format.
Implement regular data exports. Do not wait until you need to migrate. Set up automated weekly or monthly exports of critical data from every SaaS platform you use. Store these in your own infrastructure, whether that is an S3 bucket, a data warehouse like BigQuery or Snowflake, or even a simple database. Tools like Airbyte, Fivetran, or custom scripts using platform APIs can automate this. The cost is minimal compared to the insurance value.
Prefer open formats. When choosing between platforms, favor those that export data in standard formats: CSV, JSON, Parquet, SQL dumps, MBOX for email, iCalendar for events, vCard for contacts. Proprietary formats are a red flag. If a platform’s export function produces a .xyz file that only their import tool can read, you do not own that data in any practical sense.
Document your data landscape. Maintain an inventory of every system that holds business data, what data it holds, what export mechanisms exist, and when you last verified those mechanisms work. This inventory should be reviewed quarterly. Export mechanisms break, APIs change, and platforms deprecate features.
Negotiate data provisions in contracts. Before signing any enterprise software agreement, negotiate explicit data portability terms: export format specifications, API access guarantees, data retention after termination (we recommend requiring 90 days minimum), and financial penalties for the vendor failing to provide complete data exports.

The Compliance Dimension: GDPR, CCPA, and Beyond
Data portability is not just a business strategy. In many jurisdictions, it is a legal requirement.
The GDPR’s Article 20 grants EU residents the right to receive their personal data “in a structured, commonly used and machine-readable format” and to transmit that data to another controller. This means if your customers ask for their data, you must be able to extract it from every system where it exists. If your SaaS vendors cannot support this, you are the one facing regulatory exposure, not the vendor.
The California Consumer Privacy Act (CCPA) and its successor, the California Privacy Rights Act (CPRA), include similar portability rights. Virginia’s CDPA, Colorado’s CPA, Connecticut’s CTDPA, and Utah’s UCPA all include some form of data portability requirements.
Practically, this means your data portability strategy must cover:
- Discovery. You must know where all personal data exists across all systems.
- Extraction. You must be able to pull a specific individual’s data from every system within the legally required timeframe, typically 30-45 days.
- Format. The exported data must be in a format the individual can actually use, not a proprietary blob.
- Transmission. You must be able to send the data to another provider if the individual requests it.
Companies that treat data portability as a compliance checkbox rather than an operational capability routinely fail at this. Building the extraction and formatting pipelines is engineering work that should be done proactively, not scrambled together when the first data subject access request arrives.
When Custom Software Solves the Ownership Problem
There is a class of business data that is so central to your competitive advantage that it should never live in a system you do not control.
For a logistics company, that might be routing algorithms and delivery optimization data. For a financial services firm, it might be risk models and client portfolio analytics. For a healthcare organization, it might be patient outcome data and clinical decision support information.
When data is this critical, the argument for custom software becomes a data ownership argument. Building a custom system means:
- Data lives in databases you control, on infrastructure you manage.
- Export formats are whatever you define them to be.
- There is no vendor who can change pricing, deprecate features, or alter data access terms.
- You can implement encryption, access controls, and audit logging to your exact specifications.
- No third party trains models on your proprietary data.
This does not mean building everything from scratch. It means building the core systems that house your most valuable data while using SaaS tools for peripheral functions where lock-in risk is manageable.
A hybrid approach works well: use Slack for communication, Google Workspace for documents, and a SaaS accounting platform for bookkeeping. But build custom systems for your core business logic and the data that powers it. Keep the data that differentiates your business under your direct control, and treat everything else as replaceable.
Evaluating Platforms Through a Portability Lens
The next time you evaluate a SaaS platform, add these questions to your assessment:
- Can I export all my data, including metadata, relationships, and configurations, in a standard format?
- Does the platform provide a comprehensive API with reasonable rate limits?
- What happens to my data if the company is acquired, goes bankrupt, or discontinues the product?
- Are there documented migration guides from this platform to alternatives?
- Can I run a complete data export today, as a test, in under 24 hours?
If the answer to any of these is “no” or “we’re not sure,” factor that risk into your total cost of ownership. The cheapest platform becomes the most expensive one when you need to leave and cannot take your data with you.
